1. Scope of Services

2. No Guarantee of Outcomes
While we strive for high-quality results:
We do not guarantee specific financial, marketing, SEO, automation, AI, or business outcomes.
We do not guarantee uninterrupted digital platform availability.
We are not responsible for third-party platform outages (Google, Meta, hosting providers, CRMs, carriers, etc.).
All services are provided on a commercially reasonable effort basis.
3. Payments & Fees
A. Payment Terms
Payment is due as agreed in writing, estimate, invoice, or service authorization.
We may require:
Deposits
Milestone payments
Monthly subscriptions
Retainers
B. Late Payments
Late payments may result in:
Service suspension
Removal of access to digital systems
Late fees (if specified in invoice or agreement)
C. Refund Policy
Unless otherwise stated in writing:
Deposits are non-refundable.
Custom digital, branding, automation, and media work is non-refundable once work has begun.
Subscription services may be canceled prospectively but are not refunded retroactively.
4. Client Responsibilities
You agree to:
Provide accurate information.
Provide access to necessary equipment, accounts, and credentials.
Maintain backups of important data.
Obtain proper licensing for software, media, and content you provide.
We are not responsible for data loss unless caused by gross negligence.
5. Technical & Equipment Disclaimer
We are not responsible for:
Pre-existing equipment defects
Manufacturer hardware failures
Software bugs outside our control
Third-party firmware updates
Network service provider outages
Cybersecurity breaches caused by third parties
We do not provide cybersecurity or security system services unless explicitly stated in a separate written agreement.
6. AI & Automation Disclaimer
Where AI systems or automated messaging systems are deployed:
AI outputs may contain errors.
Automated systems may misinterpret inputs.
Client is responsible for reviewing automated workflows.
We are not liable for AI-generated content errors.
AI services are assistive tools and do not replace professional legal, financial, or regulatory advice.
7. Intellectual Property
A. Company Property
All proprietary systems, frameworks, templates, and internal processes remain the property of Henderson Digital.
B. Client-Owned Deliverables
Upon full payment, clients receive rights to final deliverables specifically created for them, unless otherwise stated.
C. Portfolio Rights
We may display non-confidential completed work in our portfolio unless prohibited in writing.
8. Limitation of Liability
To the fullest extent permitted by law:
Henderson Digital shall not be liable for:
Indirect or consequential damages
Lost profits
Lost data
Business interruption
Carrier message failures
Third-party platform disruptions
Total liability shall not exceed the total amount paid by the client in the 3 months preceding the claim.
9. Indemnification
You agree to indemnify and hold harmless Henderson Digital from claims arising from:
Client-provided content
Misuse of services
Regulatory violations related to client business
Unauthorized use of third-party media or software
10. Website Use
You agree not to:
Attempt to hack or disrupt the website
Scrape or copy content without permission
Use the website for unlawful purposes
All website content is protected by intellectual property laws.
11. SMS Messaging Terms (A2P 10DLC Compliant)
Program Description
If you opt in to receive SMS messages from Henderson Digital, messages may include:
Appointment confirmations
Appointment reminders
Service updates
Project communications
Customer support responses
Limited marketing (if consented)
Message frequency varies.
Consent
By providing your mobile number and opting in:

15. Dispute Resolution
Before initiating legal action, parties agree to attempt good faith resolution.
Disputes may be resolved through mediation or binding arbitration where permitted by law.
16. Modifications

17. Chargebacks & Payment Disputes
To protect against fraudulent or improper payment reversals:
A. No Improper Chargebacks
You agree not to initiate a chargeback or payment dispute with your bank or credit card provider for services that were:

Approved in writing
Provided under a signed agreement or accepted estimate
B. Dispute Resolution Requirement
If you believe a billing error has occurred, you agree to contact Henderson Digital directly and allow a reasonable opportunity to resolve the matter before initiating a chargeback.
C. Recovery of Costs
If a chargeback is initiated for valid services rendered:
You agree to reimburse Henderson Digital for the full disputed amount.
You agree to reimburse all associated chargeback fees, administrative fees, collection costs, and reasonable attorney’s fees.
We reserve the right to suspend services immediately during payment disputes.
D. Evidence Submission
You authorize Henderson Digital to provide invoices, signed agreements, message logs, SMS consent records, IP logs, delivery confirmations, and other documentation to financial institutions to contest improper disputes.
18. Media Release & Promotional Use
A. Consent for Use
Unless otherwise agreed in writing, you grant Henderson Digital a non-exclusive, royalty-free license to:
Photograph or record completed installations, setups, or production work
Use completed deliverables for portfolio, website, social media, marketing, and promotional purposes
Display business names and logos as client references
B. Sensitive Environments
We will not publicly disclose confidential business information or private residential details without written permission.
C. Opt-Out
Clients may request in writing that specific deliverables not be used in public portfolio materials.
19. Independent Contractor Relationship
Henderson Digital operates as an independent contractor.
Nothing in these Terms creates:
An employment relationship
A partnership
A joint venture
An agency relationship
We retain sole control over:
Methods
Scheduling
Tools
Technical decisions
Personnel selection
Clients do not supervise or direct internal processes beyond agreed deliverables.
20. Confidentiality
A. Definition
“Confidential Information” includes non-public information disclosed during service engagement, including but not limited to:
Business processes
Login credentials
Marketing strategies
Financial data
Automation workflows
Proprietary content
Client lists
B. Protection Obligation
Henderson Digital agrees to:
Use Confidential Information solely for service performance
Not disclose Confidential Information to third parties except subcontractors bound by confidentiality obligations
Take commercially reasonable measures to protect such information
C. Exclusions
Confidentiality does not apply to information that:
Is publicly available
Was known prior to disclosure
Is required to be disclosed by law
D. Client Responsibility
Clients are responsible for securing their own passwords, backups, and account-level security controls.
21. Subscription & Auto-Renew Terms
For services billed on a recurring basis (including hosting coordination, CRM systems, automation platforms, reporting systems, maintenance plans, or support retainers):
A. Automatic Renewal
Subscriptions automatically renew at the end of each billing cycle unless canceled prior to renewal.
B. Cancellation Policy
Cancellation must be submitted:
In writing
Before the next billing cycle
With reasonable notice (recommended minimum: 7 days)
Cancellations apply prospectively and do not retroactively refund previous billing periods.
C. Price Adjustments
We reserve the right to adjust subscription pricing with reasonable notice. Continued use after notice constitutes acceptance.
D. Suspension for Nonpayment
Failure to make timely payments may result in:
Suspension of service
Removal of access
Deactivation of hosted systems
Late fees (if applicable)
Reactivation may require payment of outstanding balances and reactivation fees.
22. Force Majeure
A. Definition
Henderson Digital shall not be liable for any delay, interruption, or failure to perform resulting from causes beyond our reasonable control, including but not limited to:
Natural disasters (fire, flood, earthquake, storm, hurricane, etc.)
Power outages or utility failures
Internet service provider outages
Telecommunications failures
Government actions, regulations, or restrictions
Labor disputes or shortages
Supply chain disruptions
Cyberattacks or widespread technology failures
Acts of God
War, terrorism, civil unrest
Third-party platform outages (including hosting providers, payment processors, CRM systems, messaging carriers, AI platforms, cloud services, or social media platforms)
B. Suspension of Performance
During a Force Majeure event:
Performance obligations are temporarily suspended.
Deadlines may be extended for a reasonable period.
We will make commercially reasonable efforts to resume services as soon as practicable.
C. No Liability
Henderson Digital shall not be responsible for damages, penalties, losses, or claims arising from delays or failures caused by Force Majeure events.
23. Limitation of Data Liability
Because many of our services involve technology systems, networks, cloud platforms, automation tools, AI tools, and third-party providers, the following applies:
A. No Guarantee of Data Integrity
We do not guarantee:
Continuous system availability
Error-free operation
Immunity from cyberattacks
Protection from ransomware
Protection from hacking
Prevention of data corruption
Prevention of accidental deletion
Technology systems inherently carry risk.
B. Client Responsibility for Backups
Clients are solely responsible for:
Maintaining backups of important data
Verifying backup integrity
Maintaining proper cybersecurity practices
Securing account credentials
Managing user access permissions
Unless explicitly agreed in writing, Henderson Digital does not provide managed cybersecurity, managed backup, or data recovery services.
C. Third-Party Platforms
We are not liable for:
Data breaches at third-party platforms
Hosting failures
CRM or automation system outages
AI platform malfunctions
Messaging carrier failures
Payment processor incidents
Social media account restrictions
Account suspensions by external platforms
Clients acknowledge that digital services depend on third-party infrastructure beyond our control.
D. Limitation of Liability for Data Loss
To the fullest extent permitted by law:
Henderson Digital shall not be liable for:
Loss of data
Loss of business revenue
Loss of goodwill
Loss of digital assets
Loss of website ranking
Corrupted files
System downtime
AI-generated errors
Automation workflow errors
Total liability related to any data-related claim shall not exceed the total fees paid by the client to Henderson Digital in the three (3) months preceding the event giving rise to the claim.
E. No Special or Consequential Damages
Under no circumstances shall Henderson Digital be liable for:
Indirect damages
Incidental damages
Consequential damages
Punitive damages
Lost profits
Loss of anticipated savings
Even if advised of the possibility of such damages.
